Terms of Use

1. License

Subject to your compliance with these Terms, the Service Provider grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial use on a mobile device that you own or control. You may not redistribute, sublicense, lease, rent, lend, or otherwise transfer the Application or any rights granted under these Terms.

2. Subscriptions & Auto-Renewable Billing

The Application offers auto-renewable subscription plans ("Subscriptions") that may be purchased within the Application. By purchasing a Subscription, you agree to the following:

• Title: The name of each Subscription is displayed on the purchase screen (e.g., "Basic" or "Pro").
• Length: Subscriptions are billed on a monthly basis unless otherwise stated on the purchase screen.
• Price: The price of each Subscription is displayed on the purchase screen and is billed to the payment method associated with your Apple ID or app store account.
• Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Billing: Your account will be charged for renewal within 24 hours prior to the end of the current period, and the cost of renewal is identified on the purchase screen.
• Cancellation: You may manage or cancel your Subscription at any time through your Apple ID or app store account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for the unused portion of a billing period.
• Changes: The Service Provider may change Subscription pricing; any change takes effect at the next renewal with prior notice where required.

3. AI-Generated Content

The Application uses Artificial Intelligence to generate recipes, meal plans, and shopping suggestions. AI-generated content may be inaccurate, incomplete, or unsafe. You are solely responsible for verifying all AI-generated content for food safety, allergens, dietary restrictions, and accuracy before relying on it. The Service Provider is not liable for any harm arising from reliance on AI-generated content.

4. Use of the Application

You agree to use the Application only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

• Use the Application in any way that violates applicable laws or regulations;
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Application;
• Interfere with or disrupt the servers or networks hosting the Application;
• Use the Application to store or transmit any unlawful, harmful, or infringing material.

5. Household & Sharing

The Application allows you to share data with household members. You are responsible for the accuracy of any household codes you create and share, and for any activity performed under a household code you control. You may revoke shared access at any time through the Application settings.

6. User Content

You retain ownership of any content you submit to the Application (such as pantry items, receipts, and notes). You grant the Service Provider a non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Application's functionality for you.

7. Privacy

Your use of the Application is also governed by the PanPlate Privacy Policy, available at /privacy-policy. The Privacy Policy describes how the Service Provider collects, uses, and protects your personal information.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE SERVICE PROVIDER DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. USE OF THE APPLICATION IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SERVICE PROVIDER'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO THE SERVICE PROVIDER FOR THE APPLICATION IN THE PRECEDING TWELVE (12) MONTHS.

10. Third-Party Services

The Application may use third-party services (such as RevenueCat for subscription management and AI providers for content generation) that have their own terms and privacy policies. The Service Provider is not responsible for the practices of these third parties.

11. Termination

The Service Provider may terminate or suspend your access to the Application at any time, without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted to you cease immediately. Sections that by their nature should survive termination shall survive.

12. Changes to These Terms

The Service Provider may update these Terms from time to time. Material changes will be communicated within the Application or by posting the updated Terms with a new effective date. Continued use of the Application after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where the Service Provider operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
